These Terms of Service ("Terms") govern your access to and use of TikTokFlow, a service provided by NexoraAI ("we," "our," or "us"), including our website, Chrome extension, and related services (collectively, the "Service"). By accessing or using TikTokFlow, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, installing our Chrome extension, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

TikTokFlow is a research and outreach tool that allows users to search for TikTok profiles and send messages to multiple TikTok accounts efficiently. The Service includes a web dashboard for managing your account and campaigns, a Chrome extension for messaging functionality, and various subscription tiers with different usage limits. TikTokFlow is designed for legitimate business outreach, research, and networking purposes.

3. Relationship with TikTok

IMPORTANT: TikTokFlow is an independent service and is not affiliated with, endorsed by, or associated with TikTok or ByteDance Ltd. in any way. Our Service provides tools that interact with TikTok's platform, but we are a third-party service provider. When you use TikTokFlow, you remain subject to TikTok's Terms of Service, Community Guidelines, and all other applicable TikTok policies.

We do not guarantee that your use of TikTokFlow complies with TikTok's policies, and you acknowledge that TikTok may take action against your account for any violations, including but not limited to limiting, suspending, or terminating your TikTok account. We are not responsible for any actions TikTok takes against your account.

4. User Eligibility and Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction) to use TikTokFlow. By using the Service, you represent and warrant that you meet this age requirement. You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You may not create an account on behalf of another person or entity without authorization, use another person's account without permission, create multiple accounts to evade usage limits or bans, or share your account credentials with others. We reserve the right to suspend or terminate accounts that violate these requirements.

5. Acceptable Use Policy

You agree to use TikTokFlow only for lawful purposes and in accordance with these Terms. The Service is intended for research, legitimate business outreach, and networking purposes only. You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party terms of service, including TikTok's policies.

Prohibited Uses: You may not use TikTokFlow to: send spam, unsolicited messages, or harassing communications; violate TikTok's Terms of Service, Community Guidelines, or any other platform policies; engage in fraudulent, deceptive, or misleading practices; collect personal information about other users without their consent; impersonate any person or entity or misrepresent your affiliation; send malicious content, phishing attempts, or malware; interfere with or disrupt the Service or TikTok's servers or networks; circumvent any rate limits, usage restrictions, or security features; scrape, harvest, or automatically collect data in violation of platform policies; or use the Service for any illegal or unauthorized purpose.

6. User Responsibility and Liability

You acknowledge and agree that you are solely responsible for your use of TikTokFlow and any consequences that result from such use. This includes, but is not limited to: ensuring your messages comply with all applicable laws and regulations; obtaining necessary consents and permissions before contacting individuals; complying with anti-spam laws, data protection regulations, and other applicable legal requirements; ensuring your activities do not violate TikTok's policies or the rights of any third party; and bearing all risks associated with account suspension, termination, or other actions by TikTok.

We provide tools for research and outreach, but we do not control how you use them. You agree to indemnify, defend, and hold harmless NexoraAI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

7. Subscription Plans and Billing

TikTokFlow offers various subscription plans with different features and usage limits. When you subscribe to a paid plan, you agree to pay all applicable fees as described in our pricing page. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan) and are non-refundable except as required by law or as otherwise specified in these Terms.

Payment processing is handled by our third-party payment provider, Stripe. By subscribing, you authorize us to charge your payment method for all fees incurred. You are responsible for providing accurate and current payment information. If payment fails or your subscription expires, we may downgrade your account or suspend access to certain features until payment is received.

You may cancel your subscription at any time through your account settings or billing portal. Cancellations will take effect at the end of your current billing period, and you will retain access to paid features until that time. We reserve the right to modify our pricing, plans, and features at any time, though changes will not affect your current billing period.

8. 7-Day Money-Back Guarantee

We offer a 7-day money-back guarantee for all paid subscriptions. If you are not satisfied with TikTokFlow, you may request a full refund within 168 hours (7 days) of your initial purchase. To be eligible for a refund under this guarantee, both of the following conditions must be met:

• You must send an email requesting a refund to info@nexoraai.ch within 168 hours (7 days) of your purchase date.
• Your subscription must be cancelled at the time of your refund request. You can cancel your subscription through your account settings or billing portal.

Important: If either of these conditions is not fulfilled, the money-back guarantee may not apply. Refund requests submitted after 168 hours from purchase, or requests where the subscription has not been cancelled, will be reviewed on a case-by-case basis but are not guaranteed. This money-back guarantee applies only to your first subscription purchase and does not apply to renewals or additional purchases.

Approved refunds will be processed within 5-10 business days and will be returned to the original payment method used for the purchase. Please note that it may take additional time for the refund to appear in your account, depending on your financial institution.

9. Usage Limits and Fair Use

Each subscription plan includes specific usage limits, such as daily message limits and monthly quotas. These limits are enforced to ensure fair use of the Service and to prevent abuse. You agree not to exceed your plan's usage limits or attempt to circumvent them through technical means or by creating multiple accounts.

We reserve the right to monitor usage patterns and take action against accounts that engage in abusive or excessive use, including suspending or terminating accounts, even if usage is within stated limits. What constitutes "excessive use" is determined at our sole discretion and may include patterns that indicate automation beyond our intended functionality or use that degrades service performance for other users.

10. Profile Searching and Data Collection

TikTokFlow provides functionality to search for and identify TikTok profiles based on various criteria. This search functionality is intended for research and legitimate business purposes only. When you search for profiles using TikTokFlow, you acknowledge that: the search results are based on publicly available information on TikTok; we do not guarantee the accuracy, completeness, or currency of search results; and you are responsible for verifying information and ensuring your use of search results complies with applicable laws and TikTok's policies.

You agree to use the profile searching functionality responsibly and not to collect, store, or use personal information in violation of privacy laws, data protection regulations, or individuals' rights. We are not responsible for how you use information obtained through our search features.

11. Intellectual Property Rights

The Service, including all content, features, functionality, software, designs, graphics, text, and other materials, is owned by NexoraAI and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works of any part of the Service without our prior written consent. Our trademarks, service marks, and logos may not be used without permission. You retain ownership of any content you create or upload to the Service, and you grant us a license to use such content solely for the purpose of providing the Service.

12. Third-Party Services and Integrations

TikTokFlow integrates with various third-party services, including TikTok, Stripe (for payments), Clerk (for authentication), and others. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, policies, or practices of any third-party service providers.

We may provide links to third-party websites or resources. These links are provided for your convenience, and we do not endorse or assume responsibility for the content or practices of any third-party sites. You access third-party services and websites at your own risk.

13. Service Availability and Modifications

We strive to provide reliable and consistent service, but we do not guarantee that the Service will be available at all times or error-free. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We are not liable for any service interruptions, data loss, or other damages resulting from service unavailability or modifications. We may also modify features, pricing, or usage limits with reasonable notice to users. Changes that materially reduce functionality or increase prices will not apply to your current billing period.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR RESULTS OBTAINED THROUGH THE SERVICE. WE DO NOT GUARANTEE THAT USE OF THE SERVICE WILL COMPLY WITH TIKTOK'S POLICIES OR THAT YOUR TIKTOK ACCOUNT WILL NOT BE SUBJECT TO LIMITATIONS OR TERMINATION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXORAAI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR DATA; OR ANY OTHER MATTER RELATING TO THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

16. Termination

You may terminate your account at any time through your account settings. Upon termination, your right to access and use the Service will immediately cease. We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms or engaged in conduct that is harmful to other users, us, or third parties.

Upon termination by either party: you will lose access to all features and content associated with your account; we will delete your account data in accordance with our Privacy Policy; any outstanding fees or charges remain due and payable; and provisions of these Terms that by their nature should survive termination will continue to apply, including intellectual property rights, disclaimers, limitations of liability, and dispute resolution provisions.

17. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. For users in the European Economic Area, United Kingdom, or Switzerland, you may also have rights under local consumer protection laws that cannot be waived by this agreement.

Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration or, where required by law, in the courts of Switzerland. You agree to waive any right to a jury trial and to participate in any class action or representative proceeding, except where prohibited by law.

18. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexoraAI regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the fullest extent permitted by law.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
